Summary
Introduction
The Cross-border Merger Directive has been implemented in Lithuania by the Law on Cross-border Mergers of Limited Liability Companies of the Republic of Lithuania (No. X-1367 of 13 December 2007) (the ‘Law on Cross-border Mergers’) and the Law on Employee Participation in a Company after Cross-border Merger of Limited Liability Companies of the Republic of Lithuania (No. X-1607 of 17 June 2008) (the ‘Law on Employee Participation’).
In addition to the rules established in the Law on Cross-border Mergers, the provisions applicable to domestic mergers and established in the Law on Companies of the Republic of Lithuania (No. VIII-1835 of 13 July 2000) (the ‘Law on Companies’) apply to the companies participating in the cross-border mergers and companies resulting from such mergers, unless the Law on Cross-border Mergers provides otherwise (Art. 1(2) Law on Cross-border Mergers).
